Affiliate Marketing Program Regulations
1. Introduction
Welcome to the Norairlabs Affiliate Marketing Program (“Program”). These Regulations (“Terms”) govern your participation in the Program. By applying to and participating in the Program, you (“Affiliate” or “You”) agree to comply with these Terms and any additional guidelines or policies outlined herein. If you do not agree with these Terms, you shall not participate in the Program.
2. Eligibility
2.1 Who Can Join
- Individuals: Bloggers, influencers, and individuals with a significant online presence.
- Businesses: Companies operating in industries related to simulation technology, aviation, research, education, and training centers.
- Educational Institutions: Schools, universities, and training organizations interested in simulation equipment.
- Technology Enthusiasts: Individuals passionate about simulation solutions and technology.
2.2 Requirements
- Legal Capacity: Must be at least 18 years old and have the legal capacity to enter into binding agreements.
- Online Presence: Must have an active website, blog, or social media profile relevant to Norairlabs’ products and services.
- Professionalism: Ability to produce invoices and maintain a registered business entity is preferred but not mandatory.
3. Application and Approval
3.1 Application Process
- Complete the Affiliate Application Form available on the Affiliates Page of the Norairlabs’ website.
- Provide accurate and complete information as requested in the application form.
3.2 Application Process
- Relevance and quality of the applicant’s online presence.
- Alignment with Norairlabs’ target market and industry.
- Demonstrated ability to effectively promote and market products.
- Previous experience and success in affiliate marketing programs (if applicable).
3.3 Notification
- Affiliates will be notified of their application status via email within 10 business days of submission.
4. Affiliate Obligations and Guidelines
4.1 Promotion Methods
Affiliates may promote Norairlabs’ products and services through the following approved channels:
- Content Marketing (blogs, articles, tutorials)
- Social Media (Facebook, Twitter, LinkedIn, Instagram, YouTube)
- Email Marketing
- Paid Advertising (PPC, display ads)
- Webinars and Online Events
- Product Reviews and Demonstrations
4.2 Prohibited Practices
Affiliates may promote Norairlabs’ products and services through the following approved channels:
- False Advertising: Misrepresenting Norairlabs’ products or services.
- Spamming: Sending unsolicited emails or messages promoting Norairlabs’.
- Trademark Infringement: Using Norairlabs’ trademarks, logos, or branding without permission.
- Cookie Stuffing: Manipulating cookies to generate commissions illegitimately.
- Unauthorized Discounts: Offering discounts or promotions without prior approval from Norairlabs’.
4.3 Content Standards
- Accuracy: All content must accurately represent Norairlabs’ products and services.
- Compliance: Adhere to all applicable laws and regulations, including advertising standards and data protection laws.
- Disclosure: Affiliates must disclose their affiliate relationship with Norairlabs’ in a clear and conspicuous manner, as required by law (e.g., EU guidelines).
5. Commission Structure and Payments
5.1 Commission Rates
- Standard Commission: Affiliates earn up to 10 % commission on each sale generated through their unique affiliate links.
- Performance Bonuses: Additional bonuses are available for affiliates who achieve certain sales milestones.
5.2 Payment Terms
- Payment Schedule: Commissions are paid monthly, within 30 days after the end of each calendar month and include all orders that at the time of processing are older than 60 days.
- Minimum Payout Threshold: Affiliates must earn a minimum of €50 in commissions before a payout is issued.
- Payment Methods: Payments are made via WireTransfer
- Tax Information: Affiliates are required to provide a valid Tax Identification Number (TIN) or VAT Number for tax purposes, if applicable.
5.3 Refunds and Chargebacks
- Commissions will be deducted for any refunds or chargebacks processed for sales generated by the affiliate.
- In cases of fraudulent activity or policy violations, Norairlabs’ reserves the right to reclaim any unpaid commissions.
6. Intellectual Property
6.1 Use of Materials
Affiliates are granted a non-exclusive, non-transferable license to use Norairlabs’ logos, banners, and marketing materials solely for the purpose of promoting the Program.
6.2 Restrictions
Affiliates must not modify, alter, or create derivative works from Norairlabs’ intellectual property without explicit written permission.
7. Termination
7.1 Termination by Affiliate
Affiliates may terminate their participation in the Program at any time by notifying Norairlabs’ in writing.
7.2 Termination by Norairlabs
Norairlabs reserves the right to terminate an affiliate’s participation in the Program at its sole discretion, without prior notice, for reasons including but not limited to:
- Violation of these Terms.
- Engaging in prohibited practices.
- Misrepresentation of NorAirLabs’ products or services.
- Inactive promotion for a period of 6 months.
7.3 Post-Termination
Upon termination, affiliates must immediately cease using all Norairlabs’ intellectual property and remove any promotional materials from their platforms. Affiliates will retain commissions earned prior to termination, subject to refund deductions as outlined in Section 5.3.
8. Liability and Indemnification
8.1 Limitation of Liability
Norairlabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Program or the affiliate relationship.
8.2 Indemnification
Affiliates agree to indemnify, defend, and hold harmless Norairlabs, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of or in connection with:
- Affiliates’ participation in the Program.
- Violation of these Terms.
- Infringement of any third-party rights.
9. Confidentiality
Affiliates may have access to confidential information, including commission structures, marketing strategies, and proprietary data. Affiliates agree to maintain the confidentiality of such information and not disclose it to any third parties without prior written consent from Norairlabs.
10. Modification of Terms
Norairlabs reserves the right to modify these Terms at any time. Affiliates will be notified of any significant changes via email or through the Program’s dashboard. Continued participation in the Program constitutes acceptance of the updated Terms.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law principles.
11.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Program shall be resolved through binding arbitration in the city of Porto in Portugal.
12. Miscellaneous
12.1 Entire Agreement
These Terms constitute the entire agreement between the Affiliate and Norairlabs regarding participation in the Program and supersede all prior agreements or understandings, whether written or oral.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 No Partnership
Nothing in these Terms shall be construed to create a partnership, joint venture, or employer-employee relationship between the Affiliate and Norairlabs.
12.4 Assignment
Affiliates may not assign or transfer their rights or obligations under these Terms without the prior written consent of Norairlabs.
